Use of this Site does not create a client, advisory, fiduciary, or professional relationship. A formal client relationship is established only through a signed written agreement. Books In The Black LLC provides bookkeeping and business consulting support services that are administrative and advisory in nature. Although the owner is a licensed Certified Public Accountant (CPA), services provided through this Site and under these Terms are limited to non-attest bookkeeping and consulting support only. Unless expressly agreed in writing, Books In The Black LLC does not provide audits, reviews, compilations, attest services, tax preparation, or representation before tax authorities. No CPA-client, fiduciary, or attest relationship is created through use of this Site.
2. NO PROFESSIONAL (TAX OR LEGAL) ADVICE
All content and services are provided for general informational purposes only and do not constitute accounting, tax, financial, or legal advice. You are responsible for consulting with a licensed CPA, tax professional, or attorney for advice specific to your situation. We are not obligated to update any information on the Site, and content may not reflect the most current developments.
3. USER RESPONSIBILITIES; RELIANCE ON INFORMATION
You agree to provide accurate, complete, and timely information and to maintain appropriate records. All services are performed based on information provided by you. We do not independently verify such information and disclaim liability for errors or outcomes resulting from inaccurate or incomplete data. You are solely responsible for reviewing deliverables and ensuring compliance with applicable laws, including tax filings and deadlines.
4. NO GUARANTEES
We make no guarantees regarding financial results, tax outcomes, business performance, or regulatory compliance. Any examples or projections are illustrative only.

We may utilize or recommend third-party platforms (such as accounting software or payment processors). We are not responsible for their performance, security, or policies.
7. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
The Site and services are provided “as is” and “as available,” without warranties of any kind. Your use of the Site and reliance on any information is at your own risk. To the fullest extent permitted by law, Books In The Black LLC shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities. In all cases, total liability shall not exceed the fees paid by you for the services giving rise to the claim.
8. INDEMNIFICATION
You agree to indemnify and hold harmless Books In The Black LLC and its owners, members, employees, and contractors from any claims arising out of your use of the Site or services, your violation of these Terms, or your violation of applicable laws.

We reserve the right to suspend or terminate access to the Site or services at any time for any reason, including violation of these Terms.
10. DISPUTES; GOVERNING LAW; LIMITATION PERIOD
These Terms are governed by the laws of the Commonwealth of Pennsylvania. Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved, all disputes shall be resolved exclusively through binding arbitration in Pennsylvania in accordance with applicable rules. Any legal action must be brought in Pennsylvania, and any claim must be filed within one (1) year of the event giving rise to the claim. The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.
11. NO PERSONAL LIABILITY
All services are provided by Books In The Black LLC, a Pennsylvania limited liability company. You agree that any claims shall be brought solely against the LLC and not against its owners or members individually.
12. GENERAL PROVISIONS
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect. We may update these Terms at any time, and continued use of the Site constitutes acceptance of any changes.
